METIS advises Fraport subsidiary FraSec on its reorganisation

METIS has advised FraSec Fraport Security Services GmbH, one of the largest security service providers at German airports, on its reorganisation. Effective 1 July 2021, the operational business units Aviation Security, Airport Security and Services were spun off into three newly established subsidiaries. The measure affects around 4,000 employees at the four sites in Frankfurt am Main, Cologne/Bonn, Stuttgart and Berlin.

The aim of the reorganisation is to bundle the technical expertise in the subsidiaries and to secure competitiveness in the long term. With the spin-off, all control services in accordance with Section 5 of the German Aviation Security Act (LuftSiG) will be handled by FraSec Luftsicherheit GmbH. Security checks in accordance with sections 8 and 9 of the Aviation Security Act (LuftSiG) as well as general security and surveillance functions will be transferred to FraSec Flughafensicherheit GmbH. All activities from the Services division are bundled in FraSec Services GmbH. The tasks and personnel of the central function and the FraSec Academy will remain in the parent company FraSec Fraport Security Services GmbH.

The METIS team consisted of Dr. Lars Friske, Dr. Felix Dette (joint transaction lead), Bettine Jankowski, Desirée Lehmann-Alvarez (all Corporate/M&A) as well as Dr. Daniel Benkert und Lena Fersch (Employment).
